Privatization

Many of Levin & Srinivasan's sovereign clients are committed to deregulating and privatizing one or more sectors of their economies. We assist these clients in, among other things: developing deregulation and privatization programs and drafting appropriate legislation to implement such programs; identifying potential privatization candidates (both by industry sector and by enterprise) and selecting specific state-owned enterprises for divestment; determining what, if any, restructuring the selected enterprises should undertake in preparation for privatization, and taking appropriate steps to accomplish such restructuring; and selling the selected state-owned enterprises, including structuring transactions, preparing offering documents, evaluating bids, and drafting and negotiating definitive legal documentation. Our attorneys have substantial experience working on privatizations carried out by countries in Africa, Europe, Asia and South America, including privatizations accomplished through: private placements to strategic investors; public flotations in both domestic and international capital markets; management and employee buyouts; and mass distributions of privatization vouchers.
