Levin & Srinivasan has an active private equity practice, including both the representation of companies and investors in venture capital financing transactions and the structuring and formation of private equity funds in the United States and abroad.

We regularly represent both financial and strategic investors in the structuring and negotiation of venture capital financing transactions from seed financing through later stage investments.  Our expertise in structuring and negotiating both equity financing terms and complex commercial agreements enables us to serve as valuable advisors to investors that are seeking both a financial and a strategic relationship.  We also represent numerous start-up companies, particularly in the emerging technology and new media arenas, in their venture capital financings and other transactions with funding sources.

Levin & Srinivasan has substantial experience in the formation of private equity funds and the complex structuring, negotiation and documentation of investment partnerships.  We regularly draft, and advise placement agents and fund managers with respect to, term sheets, private placement memoranda, partnership agreements, subscription agreements and other fund formation documentation.  In connection with such investment funds, our attorneys assist our clients in complying with the various securities laws including the preparation of all applicable filings with the United States Securities and Exchange Commission (SEC) and various state securities authorities.
