Mergers, acquisitions and divestitures constitute a
cornerstone of our Corporate practice. Levin & Srinivasan
represents and advises its clients with respect to both private and
public mergers, acquisitions and divestitures, including:
purchases and sales of minority and controlling equity interests
(including sales by “controlled auction”); purchases and sales of
assets (including unincorporated divisions); tender and exchange
offers; stock-for-stock and cash mergers; spin-offs; private
placements to strategic investors; and leveraged and management
buyouts. We have represented buyers and sellers in significant
acquisitions and divestitures across numerous industries. For
example, we recently represented the seller of a worldwide
multimedia gaming company in a stock-for-stock merger with a public
company; and the seller of significant music company assets in
multiple transactions. Our attorneys also have experience
managing the purchase and sale of stock and assets of numerous
technology companies (including biotechnology and software firms),
music publishing companies (including music catalogues), and
satellite and cable television companies.

sellers, management buyout teams, and financing sources, on

of these types of transactions. In connection with evaluating
potential merger and acquisition transactions, we promptly and
